Stock Awards

Our leaders contribute to the financial success of the company. In return, we provide stock awards in the form of restricted stock units (RSUs) to associates in leadership roles. This is a part of your overall compensation to reward you for individual and business performance. RSU grants allow leaders to share in the financial success of Bath & Body Works.

RSUs, or Restricted Stock Units, are a type of compensation provided to you through your Bath & Body Works Total Rewards package. These units convert into shares of Bath & Body Works stock. As long as you remain an active associate, you will receive fully-owned shares once they vest according to the vesting schedule. Even if the stock price remains the same, your RSUs still hold value, and if the stock price goes up, the value of your RSUs will increase as well.

For RSUs, the number of shares is calculated by simply taking the value of your stock award from your Total Rewards Statement and dividing it by the closing price of the Bath & Body Works stock on the date of grant.

RSUs are subject to a vesting schedule. Stock awards will vest 30% in the first year, 30% in the second year and 40% in the third year. The vesting schedule for each grant is outlined in your Total Rewards Statement and on the Morgan Stanley stock plan website.

When your RSUs vest and convert into stock, you will need to pay taxes on their value. The taxable amount is determined by multiplying the number of vested shares by the closing stock price on the vesting date. This value is treated as ordinary income. The total value of the vested shares and the associated tax withholding will be reported on your W-2 for that year. To cover the tax liability, a portion of the shares will be sold. The remaining shares, after accounting for the tax withholdings, will be deposited into your Morgan Stanley account as soon as administratively feasible.
